Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) govern your use of Kase Agent, a managed AI agent platform operated by Kase Industries LLC, an Arizona limited liability company (“Kase Industries,” “we,” “our,” or “us”). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

These Terms constitute a legally binding agreement between you (“Customer” or “you”) and Kase Industries. If you are accepting these Terms on behalf of a company or organization, you represent that you have the authority to bind that entity.

2. Description of Service

Kase Agent provides a managed AI agent platform that deploys custom AI assistants for business use. The Service includes access to an AI agent configured for your business, tool integrations (web search, Gmail, Google Calendar, document processing, content generation), usage of the Anthropic Claude API on your behalf, and ongoing maintenance and support as described in your plan.

The specific capabilities available to you depend on your plan (Standard or Custom) and any feature packs you have purchased. We reserve the right to modify, update, or improve the Service at any time. We will notify you of material changes that affect your use.

3. Payment Terms

Subscription Fees. The Service is billed on a monthly subscription basis. Standard plan subscribers are charged $40 per month. Custom plan subscribers are charged $99 per month plus a one-time setup fee ranging from $750 to $2,500 depending on the scope agreed during the discovery call. Subscription fees are billed in advance on your billing date.

Usage Fees. In addition to the subscription fee, you are billed for AI API usage at the end of each calendar month. Usage fees are calculated as the actual cost of API calls made on your behalf, multiplied by 1.15 (cost plus 15%). Usage fees apply unless you are using the Bring Your Own Key (BYOK) option, in which case API costs are billed directly to your Anthropic account and no usage markup applies.

Payment Processing. All payments are processed by Stripe. By providing payment information, you authorize Kase Industries to charge your payment method for all applicable fees. Payments are non-refundable except as described in Section 4.

Setup Fees. The Custom plan setup fee is charged upon signing and is non-refundable once build work begins, which typically occurs within 24 hours of your discovery call. If you cancel before build work begins, you are entitled to a full refund of the setup fee.

Late Payments. If a payment fails, we will attempt to collect it up to three times over seven days. If payment cannot be collected, we reserve the right to suspend or terminate your access to the Service.

4. Refund Policy

Standard Plan. If you are a Standard plan subscriber and are not satisfied with the Service within your first 30 days, contact us at support@kaseagent.com for a full refund of your subscription fee. This 30-day money-back guarantee applies once per customer and does not cover usage fees incurred during that period.

Custom Plan. Custom plan subscription fees ($99/month) are not covered by the money-back guarantee. The setup fee is refundable only before build work begins. Once we have started building your custom agent, the setup fee is earned and non-refundable.

Feature Packs. Feature pack purchases are non-refundable once scoping work has begun. If you request a feature pack and we have not yet started scoping, you may cancel for a full refund within 48 hours of purchase.

5. Acceptable Use

You agree to use the Service only for lawful purposes. You may not use the Service to:

  • Engage in any illegal activity or facilitate illegal activities by others
  • Process or transmit Protected Health Information (PHI) as defined under HIPAA without first entering into a Business Associate Agreement (BAA) with Kase Industries. We do not accept PHI under standard terms.
  • Generate or distribute unsolicited bulk email or spam in violation of the CAN-SPAM Act or applicable law
  • Attempt to reverse-engineer, decompile, or extract proprietary information from the Service
  • Use the Service in a manner that violates Anthropic’s usage policies, which are incorporated by reference
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity
  • Use the Service to generate content that is defamatory, harassing, or discriminatory
  • Attempt to circumvent any security or rate limiting measures in the Service

Violation of acceptable use policies may result in immediate suspension or termination of your account without refund.

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in the Privacy Policy.

Your Data. You retain ownership of all content and data you provide to the Service, including conversation history, uploaded documents, and business information. By providing this data, you grant Kase Industries a limited license to use it solely for the purpose of operating the Service on your behalf.

No Model Training. Your conversation data and business information will not be used to train or fine-tune any AI model, including those provided by Anthropic or any other third party.

Data Deletion. You may request deletion of your data at any time by contacting support@kaseagent.com. Upon account termination, your data will be retained for 12 months and then permanently deleted, unless you request earlier deletion.

7. Intellectual Property

The Service, including its software, design, trademarks, and documentation, is the property of Kase Industries LLC and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service during your subscription term.

Content generated by your agent in response to your instructions is owned by you. Kase Industries does not claim ownership over agent outputs created during your use of the Service.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. KASE INDUSTRIES DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY CONTENT GENERATED BY THE AI AGENT.

AI agents can make mistakes. You are responsible for reviewing agent outputs before relying on them for business decisions, sending communications, or taking other consequential actions.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KASE INDUSTRIES’ TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO KASE INDUSTRIES IN THE THREE MONTHS PRECEDING THE CLAIM.

IN NO EVENT SHALL KASE INDUSTRIES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. Termination

You may cancel your subscription at any time through your account dashboard. Cancellation takes effect at the end of your current billing period. Usage fees incurred prior to cancellation remain due and payable.

We reserve the right to terminate or suspend your account immediately for violation of these Terms, non-payment of fees, or for any other reason at our discretion with or without notice. In the event of termination for cause, you are not entitled to a refund of any prepaid fees.

11. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration in Maricopa County, Arizona, under the rules of the American Arbitration Association. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice in your account dashboard at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
